Terms of Service

Effective August 31, 2026

1. The agreement

These terms are a contract between you and Apex Dispatch ("Apex," "we," "us") covering your use of apexdispatch.co, any demo of the receptionist we provide, and the Apex AI receptionist service (together, the "Service"). By using the Site or subscribing, you accept them. If you're signing up for a business, you're confirming you have the authority to bind that business.

2. What the Service is

Apex provides an AI-powered phone receptionist for your business. Depending on your setup, it answers your calls around the clock, answers common questions using the business information you give us, books appointments onto your calendar, takes messages, routes urgent calls to the people you designate, and produces call records — recordings, transcripts, summaries, and structured details about each call. We configure it from the information you provide and update it when you ask.

Any live demo of the receptionist we provide — for example, during a clarity call — is free and provided as-is, so you can hear the receptionist before buying. Demo calls may be recorded and transcribed, and we review them to improve the Service. Don't share sensitive personal information during a demo.

To run the Service, we (and the technology providers that power it) record, transcribe, and analyze calls, and generate summaries and structured details, as described in our Privacy Policy. You get access to your business's call records; they're yours to use in serving your customers. Your customer relationships belong to you, and you're responsible for how you use the call data we hand you — including honoring your customers' requests about their own information. We use your call data only to provide and improve the Service, never to market to your customers.

7. Not an emergency service

The Service is not a substitute for 911 or any emergency service. The assistant is designed to direct life-threatening emergencies to 911 and to route urgent business calls to the people you designate, but call routing, transfers, and messages are best-effort — we cannot guarantee that any particular call, transfer, or message will reach you or reach you in time.

8. AI, honestly

Your receptionist is an AI system. It's good, and it's monitored, but like any receptionist — human or otherwise — it can occasionally mishear a detail, book something imperfectly, or answer a question wrong. Automated summaries and transcripts may contain errors. Verify critical details before relying on them, and tell us about any mistake — we fix configuration issues fast, usually same-day. The Service shouldn't be your only channel for matters where an error would be serious.

9. Availability

The Service depends on telephone carriers and third-party platforms. We aim for the receptionist to be up whenever your phone rings, but we can't promise uninterrupted or error-free operation, and we're not responsible for outages caused by carriers, platforms, your phone provider, or events beyond our reasonable control.

10. Ownership

We own the Service, our platform configurations, and our site content. You own your business information and your customer data. You give us permission to use your business name and information to build and operate your receptionist — that's it. We won't use your name in marketing or testimonials without your OK.

You can cancel anytime (Section 4). We can suspend or end the Service with notice, or immediately for non-payment or misuse. If we end your service without cause, we'll refund the unused portion of your current month. For 30 days after termination you can ask us for an export of your call records.

12. Disclaimers and limits on liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent the law allows: our total liability for any claim relating to the Service is capped at the fees you paid us in the three (3) months before the event giving rise to the claim, and neither of us is liable to the other for indirect, incidental, or consequential damages — including lost profits, lost jobs, or lost business opportunities. Some jurisdictions don't allow certain limits, so parts of this section may not apply to you.

13. Indemnification

You'll defend and hold us harmless from third-party claims arising out of your business's use of the Service or call data in violation of law or these terms — for example, a claim based on messages your business directed us to send, or on your failure to provide a legally required notice to your callers.

Where texting is part of the Service (for example, appointment confirmations and reminders, or replies to an inquiry you sent us), the following applies to message recipients:

15. Governing law

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Before either of us files anything, we agree to try to resolve any dispute informally by contacting each other first. Disputes that can't be resolved informally belong in the state or federal courts located in Arizona.

16. Changes to these terms

We may update these terms from time to time. The current version always lives at this page with its effective date. If a change materially affects an active subscription, we'll notify you before it takes effect. Continuing to use the Service after a change means you accept it.
